Terms of Service

Agreement and eligibility

These terms form an agreement between Virex Systems LLC and the organization on whose behalf an account is created. If you are accepting these terms, you confirm you are authorised to bind that organization.

You must be able to form a binding contract in your jurisdiction. The service is not directed at individuals under the age of majority where they live.

Accounts and organizations

Every user belongs to exactly one organization. The organization owns the account, the subscription, and the data created within it, and its administrators control membership and access.

You are responsible for the security of your credentials and for activity that occurs under your account. Tell us promptly if you believe an account has been compromised.

Products, seats, and access

Access to a product requires an active subscription for that product and a seat assigned to the member using it. Removing a seat ends that member access to that product.

We may change what a product does over time. We will not remove a capability your subscription depends on without telling you.

Fees and billing

Products are charged per seat, per month, at the rates shown on our pricing page at the time you subscribe. Your organization holds one subscription containing a line item for each product.

Seat increases take effect so the member can begin work, and reductions are recorded as pending changes applying at the next period boundary. Fees are exclusive of taxes, which are added where applicable.

Your content and your machines

You retain all rights to your code, your repositories, and the memories your agents write. We claim no ownership over any of it, and we do not use your content to train models.

Virex does not execute customer code. Coding agents run on machines you control, under model subscriptions you hold, and you remain responsible for what those agents do, including actions approved through our products.

Acceptable use

You agree not to use the service to break the law, infringe rights, or interfere with the service or other customers.

• No attempting to access another organization data, or to circumvent tenant isolation.
• No probing, scanning, or load testing our infrastructure without written permission.
• No reselling or providing the service to third parties outside your organization.
• No use that violates the terms of the model providers or tools you connect.

Availability and support

We aim to keep the service available and will tell you about planned maintenance where practical. We do not currently offer a contractual uptime commitment, and we would rather say so than publish one we cannot yet stand behind.

If the control plane is unavailable, coding agents on your machines continue to run. What you lose is oversight and retrieval, not local execution.

Term and termination

The agreement runs while you hold an active subscription. You may cancel at any time, and access continues until the end of the period you have paid for.

We may suspend or end access for material breach of these terms, for non-payment, or where required by law. Where circumstances allow, we will tell you first and give you a chance to fix the problem.

On termination, tenant-scoped data held for your organization is removed in line with our privacy policy and retention practices.

Warranties and liability

The service is provided as it is, without warranties beyond those that cannot be excluded by law. We do not warrant that the service will be uninterrupted or error free.

To the extent permitted by law, neither party is liable for indirect or consequential loss, and our aggregate liability is limited to the fees you paid us in the twelve months before the claim.

Changes to these terms

We may update these terms. Where a change materially affects your rights, we will give reasonable notice before it takes effect, and continuing to use the service after that date means you accept the updated terms.

Each version carries an effective date and a version number so you can tell what changed and when.

Governing law and contact

This agreement is governed by the laws applicable to Virex Systems LLC. If your procurement process requires a specific governing law, jurisdiction, or a countersigned agreement, contact us and we will discuss it directly.
